A short-form registration statement that can be used by companies that meet certain company and transaction requirements established by the SEC. Form S-3 consists primarily of the specific transaction information. Form S-3 allows incorporation by reference of certain required information about the company from documents previously filed pursuant to the Securities Act or the Exchange Act.
